# E-CarStar Software and Service Agreement
Welcome to E-CarStar software and services!

To use E-CarStar software (hereinafter referred to as "the Software") and related services, you shall read and comply with the *E-CarStar Software Service Agreement* (hereinafter referred to as "this Agreement"). Please carefully read and fully understand all terms and conditions, especially clauses that exempt or limit liability, as well as separate agreements for activating or using certain services, and confirm that you have fully understood and accepted all terms and content of this Service Agreement. If you do not agree to this Service Agreement, you will not be able to use our services. Your commencement of use of any E-CarStar products or services shall constitute your full understanding and acceptance of this statement. You agree that we may update this Service Agreement from time to time in this manner.

## 1 Scope of this Agreement
### 1.1 Parties to the Agreement
This Agreement is concluded between you and E-CarStar in connection with your download, installation and use of the Software.

### 1.2 Relationship of Agreements
This Agreement shall also include any relevant agreements, business rules and other materials regarding the Services that E-CarStar may issue from time to time. Once officially published, the foregoing shall constitute an integral part of this Agreement.

### 1.3 Eligibility
Only a natural person or legal entity that meets one of the following conditions may enter into this Agreement with E-CarStar and use the services of E-CarStar software:
a. A natural person who has reached the age of 18 and has full capacity for civil conduct;
b. A person without capacity for civil conduct or with limited capacity for civil conduct may use the Software only with the consent of his or her guardian and under the guidance of the guardian.

## 2 Account Registration
1. You are required to register an E-CarStar account before using the Software. E-CarStar accounts shall be registered by binding a mobile phone number. You shall bind a mobile phone number that has not been suspended by E-CarStar under this Agreement. E-CarStar may change the account registration and binding methods according to your needs or product requirements without prior notice.
2. E-CarStar shall reject an application for registration if the applicant has a record of being suspended by E-CarStar, is suspected of false registration or registration under another person’s name, or has other ineligible reasons.
3. In view of the binding registration method of E-CarStar accounts, you agree that E-CarStar may use your mobile phone number, mobile device identifier and other information for registration purposes.
4. When you register for and use the Services, the Software may collect personal information that identifies you so that we may contact you when necessary or provide you with an improved user experience. Information collected by the Software includes, but is not limited to, your name, address and location information. E-CarStar agrees that the use of such information shall be subject to the protection of your personal privacy as set forth in the *E-CarStar Privacy Policy*.

## 3 Account Security
1. Upon successful registration, you will become a user of E-CarStar and obtain a username and password, and shall have the right to log in to the Software at any time using your own username and password.
2. You shall be fully responsible for the security of your username and password, as well as all activities and events conducted under your username.
3. You shall not transfer or authorize any other person to use your Software username in any form without permission.
4. You shall bear full responsibility for any damage caused to yourself, the Company or any third party due to your failure to properly keep your account and password.
5. You shall be fully responsible for all statements, activities and events under your account. You irrevocably undertake to immediately notify the Company if you discover any unauthorized use of your user account or any security vulnerabilities.

## 4 User Representations and Code of Conduct
1. You represent that you are a civil entity with full capacity for civil conduct and have the capacity to enter into transactions and perform your obligations hereunder.
2. You undertake to provide true information upon registration and ensure the validity and accuracy of information such as your mobile phone number, name and region, so that E-CarStar staff may contact you through the aforementioned contact information. You shall also promptly update your registered information when such information changes.
3. Any content you create, post or disseminate while using the Software, including but not limited to account avatars, usernames, posts, articles, Q&As and other content in the form of text, voice, pictures, videos, as well as other content generated through the use of your account or the Services, shall not violate relevant national laws and regulations, including but not limited to the following prohibitions:
(1) Violating the basic principles determined by the Constitution;
(2) Endangering national security, disclosing state secrets, subverting state power or undermining national unity;
(3) Harming national honor and interests;
(4) Inciting ethnic hatred or ethnic discrimination or undermining ethnic unity;
(5) Undermining national religious policies or promoting cults and feudal superstitions;
(6) Spreading rumors, disturbing social order or undermining social stability;
(7) Disseminating obscene, pornographic, gambling, violent, terrorist content or content abetting crimes;
(8) Insulting or defaming others or infringing upon the legitimate rights and interests of others;
(9) Inciting illegal assemblies, associations, processions, demonstrations or gathering to disturb social order;
(10) Engaging in activities in the name of an illegal non-governmental organization;
(11) Containing other content prohibited by laws or administrative regulations.

4. You shall not use your E-CarStar account or services to create, upload, reproduce, post or disseminate content that interferes with the normal operation of E-CarStar or infringes upon the legitimate rights and interests of other users or third parties:
(1) Containing any sexual or sexually suggestive content;
(2) Containing abusive, intimidating or threatening content;
(3) Containing harassing, spam advertising, malicious or deceptive information;
(4) Other illegal or non-compliant content.

## 5 Service Content
1. The specific services of the Software shall be provided by E-CarStar based on actual conditions, including but not limited to vehicle location, mobile vehicle control, vehicle settings, alert messages, trajectory & parking records, daily driving reports, riding data, anti-theft insurance and other functions or content.
2. E-CarStar reserves the right to review or delete any content you post or disseminate that is illegal, contrary to socialist spiritual civilization, or deemed inappropriate by the Software (including but not limited to text, pictures and videos).
3. All notices and other messages sent to you may be delivered via the APP or the contact information you provide.
4. E-CarStar will obtain your and your vehicle’s location, trajectory and other information to provide you with Internet of Vehicles-related services.

## 6 Intellectual Property Rights Statement
1. Guangzhou Yichexing Technology Co., Ltd. is the intellectual property owner of the Software. All copyrights, trademark rights, patent rights, trade secrets and other intellectual property rights of the Software, as well as all information content related to the Software (including but not limited to text, pictures, audio, video, charts, interface design, layout frameworks, relevant data or electronic documents), are protected by the laws and regulations of the People’s Republic of China and applicable international treaties. Guangzhou Yichexing Technology Co., Ltd. owns the aforementioned intellectual property rights, except for the rights that relevant obligees shall enjoy in accordance with the law.
2. Without the written consent of Guangzhou Yichexing Technology Co., Ltd. or the relevant obligees, you shall not implement, utilize or transfer the aforementioned intellectual property rights for any commercial or non-commercial purposes by yourself or by authorizing any third party.

## 7 Third-Party Software or Technologies
1. The Software may use third-party software or technologies (including open-source code and public domain code that the Software may use, hereinafter the same), and such use has been legally authorized.
2. If the Software uses third-party software or technologies, E-CarStar shall display relevant agreements or other documents in accordance with applicable laws, regulations or agreements, which may be presented as an attachment to this Agreement, packaged in a specific folder of the Software installation package, or posted on an open-source software webpage. They may be expressed in the form of a "Software License Agreement", "Authorization Agreement", "Open-Source Code License" or other forms. The relevant agreements displayed in various forms above shall have the same legal force as this Agreement, and you shall comply with such requirements. If you fail to comply with such requirements, such third parties or state authorities may initiate legal actions, impose fines or take other sanctions against you and request assistance from E-CarStar, and you shall bear legal responsibility on your own.

## 8 Termination of Services
1. E-CarStar reserves the right to terminate the provision of services to you under any of the following circumstances:
(1) E-CarStar may terminate the provision of services to you if you violate any provisions of this Service Agreement;
(2) If E-CarStar contacts you through the information you provided and finds that the contact information you filled in during registration is invalid or unreachable, and you fail to provide new contact information within three working days after E-CarStar notifies you to update it through other means;
(3) You shall not conduct volume brushing or cheating through programs or manual means. If any cheating behavior is detected, E-CarStar shall immediately terminate the services and reserve the right to withhold any funds in your account;
(4) Once E-CarStar finds that the data or information you provided contains false content, E-CarStar reserves the right to terminate the provision of services to you at any time;
(5) You explicitly refuse to accept the new service terms upon termination or update of these Service Terms;
(6) Other circumstances where E-CarStar deems it necessary to terminate the services.
2. Upon termination of services, E-CarStar shall have no obligation to retain any information in or related to your original account, or forward any unread or unsent messages to you or any third party.

## 10 Place of Execution
This Agreement is executed in Guangzhou City, Guangdong Province, People’s Republic of China.

## 11 Governing Law
The formation, effectiveness, performance, interpretation and dispute resolution of this Agreement shall be governed by the laws of the mainland of the People’s Republic of China (excluding conflict of laws rules).

## 12 Dispute Resolution
Any dispute or controversy arising between you and Guangzhou Yichexing Technology Co., Ltd. shall first be resolved through friendly consultation. If consultation fails, you agree to submit such dispute or controversy to the people’s court with jurisdiction over the place where this Agreement is executed.

## 13 Severability
If any provision of this Agreement is invalid or unenforceable for any reason, the remaining provisions shall remain valid and binding upon both parties.
